Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by Sipovi LTD ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

Sipovi LTD provides software development services including but not limited to:

• Custom software development
• Web application development
• Mobile application development
• Cloud solutions and deployment
• IT consulting and digital transformation
• Maintenance and support services

3. Service Agreement

Specific terms for each project will be outlined in a separate Service Agreement or Statement of Work (SOW). In case of conflict between these Terms and a Service Agreement, the Service Agreement shall prevail.

All projects require a signed agreement before commencement of work.

4. Payment Terms

4.1 Fees and Payment

• All fees are specified in the Service Agreement
• Payment terms are typically Net 30 days unless otherwise specified
• Late payments may incur interest charges of 1.5% per month
• All prices are exclusive of applicable taxes

4.2 Refunds

Refunds are handled on a case-by-case basis and are subject to the terms outlined in the specific Service Agreement.

5. Intellectual Property

5.1 Client IP

Upon full payment, the Client will own all custom-developed software and related intellectual property created specifically for the Client, unless otherwise specified in the Service Agreement.

5.2 Company IP

Sipovi LTD retains ownership of:

• Pre-existing intellectual property and methodologies
• General knowledge and experience gained during the project
• Reusable components and frameworks developed by the Company

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of the engagement. This obligation survives termination of the agreement.

Confidential information does not include information that is publicly available or independently developed.

7. Warranties and Disclaimers

7.1 Limited Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. Any warranty claims must be made within 90 days of delivery.

7.2 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

IN NO EVENT SHALL SIPOVI LTD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, OR USE, INCURRED BY CLIENT OR ANY THIRD PARTY.

Our total liability for any claim shall not exceed the total amount paid by the Client for the specific services giving rise to the claim.

9. Termination

9.1 Termination for Convenience

Either party may terminate the agreement with 30 days written notice. Client will be responsible for payment of all work completed up to the termination date.

9.2 Termination for Cause

Either party may terminate immediately upon material breach of the agreement by the other party, provided written notice is given and the breach is not cured within 15 days.

10. Data Protection and Privacy

We are committed to protecting your privacy and personal data in accordance with applicable data protection laws, including GDPR. Please refer to our Privacy Policy for detailed information about how we collect, use, and protect your data.

By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government regulations, or natural disasters.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Entire Agreement

These Terms, together with any Service Agreement, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter herein.

14. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
